Terms of Service

These Terms of Service ("Terms") govern your access to and use of Proxer, operated by Standard Logic Company ("we," "us," or "our"), including the website at proxer.dev, the Proxer dashboard, APIs, SDKs, MCP server integrations, and any related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
Proxer is a trust infrastructure protocol for AI agents. The Service provides:
- Uni-Passports — Portable, cryptographically signed credentials that identify AI agents and declare their permissions.
- Uni-Gates — Authorization checkpoints that evaluate passports and make deterministic access decisions based on configurable policies.
- Uni-Attestations — Signed, immutable records of authorization decisions that serve as an auditable trust ledger.
- API Access — Programmatic interfaces for integrating Proxer verification into your applications, MCP servers, and agent workflows.
- Dashboard — A web-based management interface for creating and managing passports, gates, issuers, API keys, and attestation records.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.
3. Account Registration
To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to facilitate unauthorized access to any system, network, or data.
- Issue passports or credentials that misrepresent an agent's identity, capabilities, or authorization.
- Attempt to circumvent, disable, or interfere with security features of the Service.
- Use the Service to conduct or facilitate fraud, money laundering, or any illegal financial activity.
- Reverse engineer, decompile, or disassemble any part of the Service except as expressly permitted by applicable law.
- Use the Service in a manner that could damage, disable, overburden, or impair our infrastructure.
- Resell, sublicense, or redistribute access to the Service without our prior written consent.
- Use the Service to store or transmit malicious code, including viruses, worms, or trojans.
- Attempt to access other users' accounts, passports, gates, or attestation data without authorization.
5. Cryptographic Keys and Security
5.1 Your Responsibilities
The Service uses Ed25519 cryptographic signatures to ensure the integrity of passports, attestations, and authorization decisions. You acknowledge and agree that:
- Agent private keys are generated client-side and are never transmitted to or stored by our servers. You are solely responsible for the secure storage and management of agent private keys.
- Lost private keys cannot be recovered by us. If you lose an agent's private key, the associated passport must be revoked and a new passport issued.
- You are responsible for the security of your API keys and must not share them publicly or embed them in client-side code.
5.2 Our Responsibilities
- Gate signing keys are generated server-side and stored encrypted using AES-256-GCM. These keys are only decrypted in memory during attestation signing and are never exposed via API or dashboard.
- We implement industry-standard security measures to protect encrypted key material and your account data.
6. API Usage
6.1 Rate Limits
API access is subject to rate limits. Current default limits are:
/api/authorize— 100 requests per minute per API key/api/passports— 30 creation requests per minute per user/api/gates— 10 creation requests per minute per user
Exceeding rate limits will result in HTTP 429 responses with a Retry-After header.
6.2 API Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service is provided on an "as available" basis.
6.3 API Changes
We may modify, deprecate, or discontinue API endpoints. We will make reasonable efforts to provide advance notice of breaking changes.
7. Data Ownership
7.1 Your Data
You retain ownership of all data you create through the Service, including passports, gate configurations, issuer profiles, and any metadata you provide. We do not claim ownership of your data.
7.2 Attestation Data
Attestations are cryptographically signed records of authorization decisions. Once created, attestations are immutable by design. You may request deletion of attestation records associated with your account, subject to any legal retention requirements.
7.3 License to Operate
By using the Service, you grant us a limited, non-exclusive license to store, process, and transmit your data solely as necessary to provide the Service to you.
8. Intellectual Property
The Service, including the Proxer protocol specification, software, documentation, trademarks, and all related intellectual property, is owned by Standard Logic Company and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except as expressly stated.
9. Third-Party Integrations
The Service may integrate with third-party platforms, including Claude (by Anthropic) via the MCP protocol. We are not responsible for the availability, security, or practices of third-party services. Your use of third-party integrations is subject to those services' own terms and policies.
10. Fees and Payment
10.1 Current Pricing
The Service is currently offered free of charge during its initial launch period. We reserve the right to introduce paid plans, usage-based pricing, or platform fees in the future.
10.2 Future Commerce Features
The Service may include commerce features such as service advertising, consumption metering, and billing in future releases. Any commerce features will be subject to additional terms disclosed at the time of introduction.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STANDARD LOGIC COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Indemnification
You agree to indemnify, defend, and hold harmless Standard Logic Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any rights of any third party.
14. Termination
14.1 By You
You may terminate your account at any time by contacting us at support@proxer.dev.
14.2 By Us
We may suspend or terminate your account at any time, with or without cause, including for violation of these Terms. We will make reasonable efforts to provide notice before termination except where immediate action is required for security or legal reasons.
14.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Attestations that have been shared publicly may persist in those systems' records, as they are designed to be portable verification artifacts.
15. Modifications to Terms
We may modify these Terms at any time by posting the revised version on proxer.dev. Material changes will be communicated via email or a prominent notice on the Service. Your continued use after changes take effect constitutes acceptance.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Disputes shall be resolved in the state or federal courts located in Delaware.
17. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Standard Logic Company regarding the Service.
- Severability. If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect.
- Waiver. Our failure to enforce any right or provision will not be deemed a waiver of such right.
- Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
